Alabama’s COLBERT COUNTY – The Alabama Securities Commission said in a news release on Friday afternoon that Gregory James Aziz, a Canadian citizen and the CEO of National Steel Car, had been accused and detained for alleged securities fraud.
Aziz and his brother Warren are charged with lying to Retirement Systems of Alabama by failing to disclose that they understood the cost of constructing a railcar manufacturing facility in Colbert County would be significantly higher than the $350 million loan that RSA had agreed to provide for construction.
According to the indictment, the brothers’ strategy was to conceal this information until they had used up the majority of the initial loan proceeds.
There were hundreds of millions of dollars invested in the project, including a modified deal in which RSA agreed to lend them $625 million to finish the facility.
Statement by Alabama Securities Commission – “Aziz perpetrated a scheme to defraud the Retirement Systems of Alabama by knowingly supplying fraudulent financial information, and making false statements of material fact and omissions of material fact in connection with a loan and equity transaction between Aziz and the Retirement Systems.”
A grand jury in Colbert County filed an indictment against Aziz, accusing him of committing 10 charges of securities fraud between September 2006 and July 2009. Following this, Aziz was detained.
The Homeland Security Investigations division of U.S. Immigration and Customs Enforcement seized Aziz on November 12 at Chicago Midway International Airport. Aziz was given to the Chicago Police Department, which made contact with the Alabama authorities on behalf of Aziz, who waived extradition and will be taken to Alabama at a later date.
If found guilty of the accusations, he may spend up to 10 years in jail, pay penalties, and be required to reimburse the RSA for any losses he was responsible for.

At the Barton Riverfront Industrial Park, 12 miles west of Tuscumbia, construction of the Colbert County factory was first announced by officials in 2007. 1,800 people would have been employed by the plant.
After three years, RSA acquired full ownership of the factory. Only 180 people were employed there at the beginning of this year when Navistar leased the property from RSA. FreightCar America had leased a portion of the facility by February 2013.
