Why did Archstone Development File a Lawsuit Against Renval Construction?

According to the complaint, Plaintiff Archstone Development and defendant Renval Construction agreed on May 24, 2016. 

The plaintiff agreed to pay the maximum promised price of $2,347,086.00 for the work performed every month once the defendant submitted the required documentation.

On July 8, 2016, the defendant wanted a 10% down payment, which was not included in the original agreement. The plaintiff agreed to pay the down payment.

On August 1, 2016, the defendants provided an application for payment to the plaintiff of $510,229.57, stating that the total work accomplished was $899,408.60.

Renval changed the price the next day, claiming $433,564.57 and stating $844,938.17 for finished work. However, Renval Construction must still submit the necessary documents for the project’s costs.

The plaintiff sent the defendant the following email on August 3, 2016: “I don’t think this is going to work… Please stop working on the site now and refund the deposit less reasonable and recorded expenses.”

On August 3, 2016, the defendant emailed, saying, “I will have my team stop working at the site as per your request today, August 3, 2016.” We will work on paying back the deposit less all reasonable fees and labor provided.”

Defendant’s Deposit Report accounted for $144,936.00 of the down payment, leaving $188,772.60 as a credit that must be paid back to the plaintiff. According to the complaint, Renval then stopped working on the project.

Actions Against Renval Construction

Plaintiff started an action on August 24, 2016, by filing a lawsuit at the Supreme Court. The initial action was thrown out without prejudice.

The plaintiff filed this action against the defendants on April 6, 2017, including six causes of action: 

1) declaratory judgment/specific performance; 

(2) standard law accounting; 

(3) breach of contract;

(4) breach of fiduciary duty; 

(5) constructive fraud; and 

(6) conversion.

Plaintiff asserts the first and third causes of action against Renval Construction and the second, fourth, fifth, and sixth causes of action against both defendants.

Renval Construction completed a remodeling project in March 2014 in the Upper West Side neighborhood using a permit acquired from New York City. In November 2012, they did a remodeling project in the Upper West Side neighborhood using a permit also received from New York City.

However, the company’s website and social media platforms include no relevant details, and all they show is a construction company based in New York.
